Terms & Conditions of Service for Finovera Ltd.
1. Introduction
These Terms and Conditions ("Terms") govern the use of the services provided by Finovera Ltd. ("we," "us," or "our") to our clients ("you" or "the Client"). By accessing or using our services, you agree to be bound by these Terms and any additional terms, conditions, or policies that may apply.
2. Services Provided
Finovera Ltd. provides consulting, software development, digital transformation, quality assurance, testing, and ongoing support services to businesses in the financial technology (fintech) sector. Specific services will be outlined in a formal agreement between Finovera and the Client.
3. Client Obligations
Cooperation: The Client agrees to provide us with all necessary information, access, and resources required for the proper execution of our services.
Compliance: The Client is responsible for ensuring that the data and materials provided to Finovera comply with applicable laws, regulations, and industry standards.
Payment: The Client agrees to pay the agreed-upon fees for services rendered as specified in the service agreement or invoice.
4. Payment Terms
Payment for services is due as outlined in the service agreement or invoice. Late payments may be subject to additional fees or interest as specified in the agreement.
Payment Methods: Finovera accepts payments via bank transfer, credit card, or other payment methods specified in the agreement.
Invoices: All invoices will be provided electronically and must be paid in accordance with the payment terms outlined in the invoice.
5. Intellectual Property
Ownership: All intellectual property rights to any custom software or technology developed by Finovera remain the property of Finovera unless otherwise specified in a separate agreement.
Licensing: Finovera grants the Client a non-exclusive, non-transferable license to use any software or technology delivered as part of the services, subject to the terms of the service agreement.
6. Confidentiality
Both parties agree to keep all confidential information disclosed during the course of the services confidential and not to disclose it to any third party without prior written consent, except as required by law.
7. Data Protection
Finovera Ltd. is committed to protecting the Client’s data in accordance with our Security Policy and applicable data protection laws. The Client is responsible for ensuring that they have the necessary rights to provide us with any data that may be processed as part of the services.
8. Limitation of Liability
To the extent permitted by law, Finovera Ltd.'s liability for any claim arising out of or in connection with the services provided will be limited to the amount paid by the Client for the specific service or project giving rise to the claim.
Finovera will not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profit, business interruption, or data loss.
9. Termination
Either party may terminate the agreement with prior written notice if the other party breaches any material term of the agreement or fails to perform their obligations under the contract. Termination will be without prejudice to any rights or remedies that may have accrued prior to termination.
10. Governing Law
These Terms and the services provided by Finovera Ltd. are governed by and construed in accordance with the laws of the United Kingdom, and any disputes will be resolved in the competent courts located in London.
11. Dispute Resolution
In the event of a dispute, both parties agree to attempt to resolve the matter through negotiation or mediation before resorting to legal action.
12. Changes to the Terms
Finovera reserves the right to update or modify these Terms at any time. The Client will be notified of any material changes, and the revised Terms will take effect immediately upon notification.
